GIFT City IFSC: when it makes sense for your fund or treasury.
The tax holidays and FEMA freedoms inside GIFT City IFSC — and the substance you actually need to claim them.
GIFT City's International Financial Services Centre (IFSC) offers a genuinely different tax-and-regulatory regime inside India — but it rewards substance, not just a registered address.
What the IFSC regime offers
Units in the IFSC can access a 100% tax holiday on profits for any 10 consecutive years out of 15, exemptions on certain capital gains, GST relief on services to offshore clients, and a single unified regulator (the IFSCA). For funds, family offices and treasury operations, the package can be compelling.
Funds, treasury and holding structures
Common uses include AIFs and funds domiciled in the IFSC, treasury and financing centres, aircraft and ship leasing, and increasingly family-office vehicles. The regime is designed to bring offshore activity — Singapore, Mauritius, Dubai — onshore into India.
Substance and the holiday
The reliefs assume real activity: qualified people, decision-making and operations in the IFSC. A nameplate presence does not hold up, and the benefits are conditioned on meeting the unit's licensing and operating requirements.
GIFT City vs Singapore / Mauritius
For India-centric flows, the IFSC can match or beat the traditional hubs on tax while keeping you onshore and rupee-adjacent. For genuinely global, multi-jurisdiction mandates, the established hubs may still fit better. It is a real comparison, not an automatic answer.
The tax package, precisely
The centrepiece is Section 80LA: a 100% deduction of eligible profits for any ten consecutive years chosen out of the first fifteen. Around it sit the supporting reliefs — no GST on services provided by an IFSC unit to offshore clients or received from offshore providers, exemptions on specified capital-market transactions on IFSC exchanges for non-residents, concessional treatment for aircraft and ship leasing, and stamp-duty relief on IFSC-exchange instruments. The unit transacts in foreign currency — the point of the zone is offshore business conducted from Indian soil.
The fund-relocation window
For offshore funds weighing a move home, the Income-tax Act provides a tax-neutral relocation regime: an existing offshore fund can migrate to an IFSC AIF without the transfer itself triggering Indian capital gains, for either the fund or its investors, subject to conditions. Combined with 80LA and the IFSC's fund-management framework, this is how Mauritius- and Singapore-domiciled India funds have been coming onshore — same investors, same portfolio, Indian domicile.
Family offices: the FIF route
The IFSCA's Family Investment Fund framework lets a single family pool at least USD 10 million (to be reached within three years) into an IFSC vehicle that can invest globally — in effect, an offshore-style family office inside India, with the IFSC's tax treatment and its own outbound-investment headroom beyond LRS limits. For families that would otherwise build a Singapore or Dubai structure, it deserves a hard look before the flight out.
What a real unit costs
The reliefs are conditioned on an IFSCA licence for a regulated activity, physical office space in GIFT City, resident key personnel appropriate to the activity, and ongoing IFSCA reporting. Budget realistically for a small genuine team plus licensing and compliance — meaningful money, but a fraction of running a Singapore office, and the substance requirement is the same discipline any treaty-based structure now needs anyway. What the IFSC does not fix: an India-facing operating business earning rupee revenue gains nothing by moving to GIFT City — the regime is built for financial services and offshore-facing flows.
